Governing Law and Venue

This Agreement shall be construed under the laws of the State of Florida, without regard to its conflict of laws principles, and all disputes arising hereunder shall be filed exclusively in Florida, including the federal courts therein, and the parties consent to the jurisdiction of such courts, agree to accept service of process by mail, and hereby waive any jurisdictional or venue defenses otherwise available.
